Process Discovery (FortressIQ)
The following terms apply to AAI's Process Discovery and are governed by and supplement the terms and conditions of AAI's Cloud Automation Agreement, available at cloud automation agreement, or such other cloud agreement negotiated between AAI and Customer (the “Agreement”). Terms capitalized but not defined herein shall have the meanings given to them in the Agreement.
“Authorized User” means each of the individuals (including employees, officers, directors, partners, agents, consultants, and advisors of Customer) authorized in writing, or through the security designation, to Use the SaaS Services by or on behalf of Customer pursuant to Section 1.1 below.
“Credit” means data collected for a period of one (1) Active Day from one (1) Observer. “Active Day” means any day (midnight to midnight UTC) during which an Observer collects a meaningful level of process data, including business days, non-business days and holidays; one (1) Credit is debited for any Active Day in which 200 or more events are collected. If there are days where there are less than 200 events collected, such day is not considered an Active Day. Customer shall have the number of Credits stated in the Order Form. Credits must be used within the then-existing subscription term and, if unused, shall expire at the end of such subscription term. Processing and analysis of collected data is included with each Credit. Once a Credit is used, data collection on the machine is complete. If additional data collection on the machine is desired, new Credits will apply.
“Documentation” means any manuals, instructions or other documents or materials that AAI makes generally available with the SaaS Services.
“Observer” means the unique combination of machine and username.
“Permitted Use” means the parameters for the number of machines on which the Software Sensor and PEG are installed, and the number of Credits analyzed by the SaaS Software, as described in the Order Form. The Permitted Use parameters help ensure a sufficient variety and quantity of data is processed by the SaaS Software to allow the SaaS Software to perform its tasks.
“Privacy Enhanced Gateway (PEG)” means an AAI on-premises appliance that resides on Customer's internal systems which redacts sensitive data that's included in video frames collected by the AAI desktop sensor. This redaction occurs within Customer's own Virtual Private Cloud (VPC) before the redacted data is forwarded to the SaaS Software.
“SaaS Services” means, collectively, AAI's Process Discovery software-as-a-service applications, including SaaS Software, Software Sensor and PEG (as applicable) as described in the Documentation and subscribed to under an Order Form.
“SaaS Software” means the Process Discovery software-as-a-service which AAI provides to Customer, as described in the Order Form.
“Software Sensor” means the AAI on-premises, distributed software program (or bot) installed by Customer on machines in the Territory used by Customer personnel whose work-flow tasks will be assessed by the SaaS Software as described in the Order Form. The Software Sensor does not require interaction with Authorized Users to perform its tasks.
“Territory” is defined in the Order Form.
“Use” means to take any action or perform any operation or set of operations that the SaaS Services are capable of taking or performing, on any data, information or other content, including to collect, access, receive, input, upload, download, record, reproduce, store, organize, compile, combine, log, catalog, cross-reference, manage, maintain, process, retrieve, output, consult, perform, display, disseminate, transmit, submit, post, transfer, disclose or otherwise provide or make available, or block, erase or destroy. “Using” and “Used” have correlative meanings.
Access and Use.

Software Sensor and PEG. Subject to the terms and conditions of this Agreement, AAI grants Customer a non-exclusive and non-transferable (except pursuant to assignment), license to, and to permit its Authorized Users to, reproduce and install the Software Sensor and PEG, on multiple machines in the Territory under the control of Customer, solely in accordance with the Permitted Use and Documentation. AAI shall deliver the Software Sensor and PEG to Customer electronically promptly following the Effective Date. Subject to this Agreement, Customer or its Authorized Users may make one (1) back-up archival copy of the Software Sensor and PEG for each installation. Customer may activate its back-up copy only in the event that the primary instance is unavailable, and only for the duration of such unavailability.
SaaS Software. Subject to the terms and conditions of this Agreement, AAI shall provide to Customer and its Authorized Users access to and Use of the SaaS Software on a non-exclusive and non-transferable (except pursuant to assignment) basis, solely in accordance with the Documentation.
Use of PEG. Customer shall be responsible for the setup and operation of PEG, with assistance from AAI as requested, and shall make determinations as to the types of Customer Confidential Information and Customer Data (collectively, for purposes of this section, “Sensitive Information”) to be irreversibly masked using PEG. Customer shall use best efforts, utilizing PEG, to irreversibly mask Sensitive Information so that it is not sent to AAI's cloud environment.
A+ Tokens and A+ Accelerators Terms & Conditions

Automation Anywhere, Inc. (“AAI”) A+ Tokens are pre-paid tokens that Customers (as defined on an applicable Order Form) can use to redeem against a published set of individual A+ Accelerators from AAI’s A+ Accelerators catalog. All A+ Accelerator packages shall be subject to a dually executed Master Services Agreement or other acceptable governing agreement, such as an AAI On-Premise License Agreement, Cloud Automation Agreement, or Intelligent Automation Agreement (a “Governing Agreement”). If Customer has not entered into an acceptable Governing Agreement with AAI, Customer shall accept the Governing Agreement referenced in the applicable Order Form.

Restricted User Terms for AAI Citizen Developer Licenses

The following terms apply to AAI's Citizen Developer licenses and are governed by and supplement the terms and conditions of the applicable governing agreement between AAI and Customer; AAI's Intelligent Automation Agreement, available here, or such other agreement negotiated between AAI and Customer (the “Agreement”). Terms capitalized but not defined herein shall have the meanings given to them in the Agreement.

The following terms apply to the AI Features (as defined below) in the Automation Anywhere, Inc. (“AAI”) Automation + AI Products listed herein and are governed by and supplement the terms and conditions of AAI's Intelligent Automation Agreement, or such other agreement negotiated between AAI and Customer (the “Agreement”). Terms capitalized but not defined herein shall have the meanings given to them in the Agreement.

Customer acknowledges AAI’s commitment to and framework for the responsible use of AI and agrees not to use the AI Features in a manner that would be inconsistent therewith.
Automation + AI Products:
Terms and Conditions
Use of AI Features. Customer may submit Customer Data (including in the form of prompts or queries) to the AI Features ("Inputs") and receive outputs from the AI Features ("Outputs"). “AI Features” means the large language models (“LLMs”) or other machine learning or artificial intelligence features of the Automation + AI Products.
Training. AAI may use Inputs and Outputs to train and improve the AI Features, but only if such Inputs and Outputs have been (a) de-identified or anonymized so that they do not identify Customer, its users, or any other person and (b) aggregated with data of other customers.
Special Processing Terms for Generative Recorder. For customers located outside the US and EU, anonymized prompts used by the Generative Recorder vision fallback feature may be routed to and processed in regions where supported GenAI models are available (currently the US and EU).
Outputs. Where the Output contains contents of text, audio, documents, images, or files submitted by Customer to the Services, Outputs are deemed to be Customer Data, subject to these AI Terms. Where the Output contains suggestions, commands, or components of a bot, Customer is authorized to use Outputs subject to the terms of the Agreement, including these AI Terms.
Similar Outputs. Customer acknowledges that Outputs provided to Customer may be similar or identical to Outputs independently provided by AAI to others.
Infringement by Outputs. Due to the nature of the AI Features, and because Customer controls the content of the Inputs, AAI does not represent or warrant that (a) any Output does not incorporate or reflect third-party content or materials or (b) any Output will not infringe third-party intellectual property rights. AAI disclaims any liability for claims of intellectual property infringement or misappropriation by Outputs, including claims for indemnity in relation thereto, and any such claims are excluded from AAI’s indemnity obligations under the Agreement.
Disclaimer. OUTPUTS ARE GENERATED THROUGH MACHINE LEARNING PROCESSES AND ARE NOT TESTED, VERIFIED, ENDORSED OR GUARANTEED TO BE ACCURATE, COMPLETE OR CURRENT BY AAI, TO THE EXTENT PERMITTED BY APPLICABLE LAW. CUSTOMER SHOULD INDEPENDENTLY REVIEW AND VERIFY ALL OUTPUTS AS TO APPROPRIATENESS FOR ANY OR ALL CUSTOMER USE CASES OR APPLICATIONS. THE WARRANTY DISCLAIMERS AND LIMITATIONS OF LIABILITY IN THE AGREEMENT FOR THE SERVICES PROVIDED UNDER THE CLOUD AUTOMATION AGREEMENT APPLY TO THE AI FEATURES.
Third Party Terms. Customer agrees to abide by any third-party terms, conditions, and restrictions relating to the AI Features specified under "Third-Party Terms" below.
Compliance with Law. AI Features may not be used by Customer in any way prohibited by law, regulation, government order, or decree, or for any use that violates the rights of third parties. Customer may not use AI Features in a manner that would constitute a prohibited AI practice under Regulation (EU) 2024/1689 of the European Parliament and of the Council of 13 June 2024 laying down harmonized rules on artificial intelligence (“EU AI Act”), or that would make the AI Features qualify as a high-risk AI system under the EU AI Act. Customer is solely responsible for applying human oversight and conducting any legally required assessments and processes applicable to its use of AI Features.
Disallowed Customer Usage of AI Features.The AI Features may not:
be used for social scoring or predictive profiling that would lead to discriminatory, unfair, biased, detrimental, unfavorable, or harmful treatment of certain persons or groups of persons;
categorize people based on their biometric data to infer characteristics or affiliations about them such as race, political opinions, trade union membership, religious or philosophical beliefs, or sex life or sexual orientation;
be used for ongoing surveillance or real-time or near real-time identification or persistent tracking of the individual using any of their personal information, including biometric data;
be used in a manner that poses a risk of harm to the health, safety or fundamental rights of an individual, including by materially influencing the outcome of decision-making which may have a consequential impact on any individual’s legal position, financial position, life opportunities, employment opportunities, human rights, or result in physical or psychological injury to an individual;
engage in the unauthorized practice of law, or offer tailored legal advice without a qualified person reviewing the information (our AI Features are not fine-tuned or intended to provide legal advice - you should not rely on our AI Features as a sole source of legal advice);
offer tailored financial or tax advice without a qualified person reviewing the information (our AI Features are not fine-tuned or intended to provide financial or tax advice - you should not rely on our AI Features as a sole source of financial or tax advice); or
tell someone that they have or do not have a certain health condition, or provide instructions on how to cure or treat a health condition (our AI Features are not fine-tuned or intended to provide medical information - you should never use our AI Features to provide diagnostic or treatment services for serious medical conditions).
Bring Your Own License (“BYOL”) Applications. If Customer chooses to bring its own LLMs or other machine learning or artificial intelligence features to integrate with the AAI Automation Success Platform (each a “BYOL Application”), Customer’s use of the BYOL Application will be subject to the terms applicable to that BYOL Application, and these AI Terms shall not apply. AAI shall have no liability for damages caused by or arising out of use of a BYOL Application.
